Terms of Service

1. Acceptance

You accept these Terms by creating an account, clicking an "I agree" button, or by using SONAR. If you accept on behalf of a company, you represent you have authority to bind that company.

2. The service

SONAR is a Know Your Business (KYB) and competitive-intelligence SaaS. It aggregates information from public business registries, sanctions lists, and other open sources, and produces reports for each subject you submit. SONAR does not provide legal, financial, or investment advice; reports are informational and must be independently verified before use in a regulated decision.

3. Accounts and eligibility

You must be at least 18 years old and using SONAR for a lawful commercial purpose. You are responsible for the security of your account credentials. Notify security@getsonar.report immediately if you suspect unauthorized access.

4. Acceptable use

You agree NOT to:

• Resell, sublicense, or repackage SONAR reports or raw data to third parties without our written permission
• Use sanctions or PEP match results to identify, target, or harass protected individuals
• Submit personal data for which you lack a valid legal basis under GDPR Art. 6 (or local equivalent)
• Scrape, reverse-engineer, or attempt to bypass rate limits
• Use SONAR in jurisdictions or for purposes prohibited by applicable export-control or sanctions law
• Share your account credentials or API keys with unauthorised parties

5. Customer compliance warranty

Customer represents and warrants that for every KYB subject submitted to SONAR, Customer has a lawful basis to process that subject's personal data under GDPR (or equivalent) and holds any additional authorisations required by its own regulator. SONAR acts as processor for that data; Customer is the controller. A Data Processing Agreement is available at /legal/dpa.

6. Fees and billing

Fees, billing frequency, and overage behaviour are set out in your order form or the pricing page at signup. Fees are due in advance and non-refundable except as required by law. Late payments accrue statutory interest under the UK Late Payment of Commercial Debts (Interest) Act 1998 (currently 8% above the Bank of England base rate).

7. Intellectual property

SONAR retains all right, title, and interest in the SONAR software, data-aggregation logic, and documentation. Customer retains ownership of its inputs (the subject data Customer submits) and the reports SONAR renders for Customer. Customer grants SONAR a non-exclusive licence to process its inputs solely to deliver the service.

8. Disclaimers

SONAR data is aggregated from public sources and sanctions lists refreshed at least every 24 hours. We do not warrant completeness, accuracy, or timeliness. SONAR is not a law firm or financial adviser. Reports are provided "as is" and "as available". We disclaim all implied warranties of merchantability, fitness for purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, SONAR's aggregate liability under or in connection with these Terms will not exceed the fees Customer paid to SONAR in the 12 months preceding the claim. Neither party is liable for indirect, consequential, incidental, special, or punitive damages, lost profits, lost data, or loss of goodwill — even if advised of the possibility. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.

10. Indemnification

Customer indemnifies SONAR against third-party claims arising from (a) Customer's misuse of the service, (b) Customer's breach of Section 4 or 5, or (c) data Customer submitted without a lawful basis.

11. Term and termination

These Terms apply while you hold an account. Either party may terminate for material breach with 30 days' written notice if the breach is not cured. SONAR may suspend immediately for acceptable-use violations or non-payment. Sections that by nature survive termination (IP, disclaimers, liability caps, indemnity, governing law) survive.

12. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction over any dispute, save that we may bring proceedings in any jurisdiction where Customer carries on business. Enterprise customers outside the UK may opt into binding LCIA arbitration seated in London (one arbitrator, English language, English law) by written notice at signup.

13. Changes

We may update these Terms with 30 days' notice (email to the account owner or a banner on the service). Continued use after the effective date is acceptance of the updated Terms.
